1. Scope
These Terms apply to orders placed with the provider identified in the Impressum and to use of the KEEPIQ website and shop.
Any conflicting or additional terms apply only where we have expressly agreed to them.
2. Contract
Product listings and descriptions do not constitute a binding offer but an invitation to place an order.
A contract is formed when we accept your order, confirm the purchase, provide the digital product or licence, or dispatch the hardware, as applicable.
Prices include VAT where required. Any applicable shipping charges or other additional costs are displayed before you complete the order.
3. Delivery
Digital products, downloads and licence information are delivered electronically to the e-mail address or account provided during checkout, normally shortly after successful payment.
Hardware products are dispatched according to the availability and estimated delivery information shown at the time of purchase.
Delivery estimates are not guaranteed delivery dates unless expressly stated otherwise.
4. Right of withdrawal
If you are a consumer in the European Union or another jurisdiction providing equivalent statutory rights, you may have a legal right to withdraw from a distance contract within 14 days without giving a reason.
For digital content that is not supplied on a tangible medium, the right of withdrawal may be lost once performance has begun where you have expressly consented to performance beginning during the withdrawal period and acknowledged that you thereby lose your right of withdrawal, as required by applicable law.
For physical goods, statutory withdrawal rights remain unaffected. You may inspect and handle returned goods to the extent necessary to establish their nature, characteristics and functioning. You may be responsible for any diminished value resulting from handling beyond what is necessary for that purpose.
Instructions for exercising the right of withdrawal and the applicable return address are provided with the legally required withdrawal information and/or in the Impressum.
Nothing in these Terms limits any mandatory consumer rights available to you under applicable law.
5. Updates
KEEPIQ may provide software updates, including security fixes, bug fixes and functional improvements.
Core updates are provided for as long as we support the applicable release line.
Updates are cryptographically signed and installed by you through the KEEPIQ appliance. Before an update is installed, KEEPIQ automatically creates a backup. If an update causes a problem, the appliance provides a rollback function to restore the previous version.
You are responsible for installing available updates within a reasonable period, particularly where an update contains security fixes.
Nothing in this section limits any statutory rights or obligations relating to updates for goods or digital products.
6. Acceptable use
You may not use KEEPIQ to:
- store or process content where doing so is unlawful;
- attack, interfere with or gain unauthorised access to third-party systems;
- circumvent licence, security or access-control mechanisms; or
- provide KEEPIQ to third parties as a commercial hosted service without our written agreement.
You are responsible for taking reasonable measures to secure the appliance and the network on which you operate it.
7. Warranty and liability
Mandatory statutory warranty and consumer rights apply and are not restricted by these Terms.
We are liable without limitation where liability cannot legally be excluded or limited, including for intent, gross negligence and injury to life, body or health.
In cases of slight negligence, where permitted by applicable law, liability is limited to breaches of essential contractual obligations and to damage that was reasonably foreseeable and typical for the contract.
You are responsible for maintaining reasonable backups of data that is important to you. To the extent permitted by applicable law, we are not responsible for avoidable data loss resulting from a failure to maintain reasonable backups.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
8. Governing law and disputes
These Terms are governed by the law applicable at the provider’s registered seat, without depriving consumers of mandatory protections granted by the law of their country of habitual residence.
If you are a consumer, mandatory rules concerning jurisdiction and consumer protection remain unaffected.
Information about whether the provider participates in proceedings before a consumer dispute-resolution body is provided where required by applicable law.
